1. Anbieterin, Geltung und Einbeziehung
Anbieterin ist Alene Küpper, Einzelunternehmerin, handelnd unter der Geschäftsbezeichnung AKTE, Erlenweg 65, 75175 Pforzheim, Deutschland („AKTE“). Diese AGB gelten für B2B-Leistungen zur Analyse von Ausschreibungs-, Vergabe- und Angebotsunterlagen sowie Entscheidungsunterstützung. Sie werden dem Kunden vor Vertragsschluss zugänglich gemacht und durch ausdrückliche Bezugnahme in Angebot, Beauftragungsblatt oder Projektvertrag einbezogen. Abweichende Kundenbedingungen gelten nur bei ausdrücklicher Zustimmung in Textform.
2. Vertragsschluss und Rangfolge
Website-Angaben sind eine unverbindliche Leistungsbeschreibung, kein bindendes Angebot. Ein Vertrag entsteht durch beiderseitige Unterzeichnung, dokumentierte Auftragsbestätigung oder eindeutig dokumentierte Annahme des konkreten Angebots. Individuelle Vereinbarungen und das Beauftragungsblatt gehen vor; für personenbezogene Kundenprojektdaten geht der AVV vor; danach gelten Projektvertrag und diese AGB.
3. Leistungsgegenstand und keine Garantie eines Vergabeergebnisses
AKTE erbringt die konkret vereinbarten Analyse-, Strukturierungs-, Zuordnungs-, Vergleichs-, Risiko- und Berichtsleistungen. Maßgeblich sind Quellen, Umfang, Prüftiefe, Bieter-/Loszahl, Format, Sprache, Annahmen und Ausschlüsse im Beauftragungsblatt. AKTE darf geeignete lokale Software- und KI-Hilfsmittel einsetzen, bleibt aber zur vereinbarten menschlichen Qualitätskontrolle verpflichtet.

Keine Garantie für Vollständigkeit fehlerhafter/gescannter Quellen, Ausschluss-, Zuschlags-, Gewinn- oder sonstigen Geschäftserfolg.
Hinweise und Scores sind Entscheidungshilfen; der Kunde prüft fachliche, rechtliche und kommerzielle Schlussfolgerungen selbst.
4. Mitwirkung, Zugänge und Termine
Der Kunde liefert rechtzeitig vollständige, aktuelle und lesbare Unterlagen, Kriterien, Nachträge, Klarstellungen, Portalinformationen, Weisungen und Ansprechpartner. Er ist für Rechtmäßigkeit, Berechtigung und Richtigkeit der Inputs verantwortlich und darf keine unnötigen sensiblen oder privaten Daten liefern. AKTE darf auf bestätigte Angaben vertrauen, muss erkennbare Widersprüche jedoch als solche kennzeichnen.
Termine setzen rechtzeitige Kundenmitwirkung voraus; Änderungen werden mit ihren Auswirkungen vereinbart. AKTE-Arbeitstage sind Montag bis Freitag, ausgenommen der 25., 26. und 31. Dezember sowie der 1. Januar. Alle anderen Feiertage an Wochentagen zählen. Auf den Fit Check erfolgt innerhalb eines AKTE-Arbeitstags eine Antwort. Innerhalb von zwei AKTE-Arbeitstagen nach Bestätigung des vollständigen Uploads erfolgt eine Validierungsbestätigung oder eine zusammengefasste Liste fehlender Voraussetzungen. Die Lieferfrist beginnt erst mit schriftlichem Complete Validated Upload nach Vertragsannahme und geprüftem vollständigem Zahlungseingang.
5. Change Control und Teilleistungen
Änderungen werden vor Umsetzung in Textform mit Umfang, Preis, Zeit, Risiko und Datenschutzfolge festgehalten. Vereinbarte zusätzliche Leistungen werden vor Ausführung vollständig bezahlt. Änderungen der genehmigten Verarbeitungsroute bedürfen vorheriger Freigabe.
6. Prüfung und Mängelbearbeitung
Die Prüffrist beträgt zehn AKTE-Arbeitstage ab Bereitstellung der vollständigen Liefergegenstände mit funktionierendem Zugang für eine zusammengefasste sachliche Korrekturliste. Einfache Korrekturen werden innerhalb von zwei AKTE-Arbeitstagen nach Annahme der vollständigen Liste angestrebt; umfangreichere Nacharbeit erhält einen gesonderten Termin. Schweigen ist keine Abnahme; gesetzliche Mängelrechte bleiben unberührt.
7. Preise, Rechnungen und Steuern
Es gelten die vereinbarten Preise, Währung und Auslagen. Umfang und Bedingungen werden vor Zahlung angenommen. Zahlung erfolgt per Stripe oder Vorauszahlungsrechnung. Die vollständige Zahlung muss vor Freigabe eines Upload-Links, Annahme vertraulicher Projektdateien oder Auswertungsbeginn eingegangen und geprüft sein. Vorauszahlungsrechnungen sind 14 Kalendertage nach Ausstellung fällig. Bestellungen, Zahlungsbilder sowie ausstehende oder unvollständige Zahlungen genügen nicht; unbezahlte Rechnungen sichern keinen unbedingten Liefertermin.
AKTE wendet derzeit die Kleinunternehmerregelung nach § 19 UStG an. Für darunter fallende inländische Leistungen wird keine Umsatzsteuer erhoben; Rechnungen weisen auf die Steuerbefreiung für Kleinunternehmen hin. Grenzüberschreitende Leistungsort-, Reverse-Charge- und Registrierungsfragen werden fallbezogen geprüft. Bei rechtmäßiger Änderung des Steuerstatus gilt die gesetzlich erforderliche Behandlung ab dem maßgeblichen Zeitpunkt.
8. Vertraulichkeit und Informationssicherheit
Vertrauliche Informationen werden nur zur Vertragserfüllung genutzt, angemessen geschützt und nur erforderlichen, gebundenen Empfängern zugänglich gemacht. Übliche Ausnahmen gelten für öffentliche, rechtmäßig vorbekannte, unabhängig entwickelte, rechtmäßig von Dritten erhaltene oder zwingend offenzulegende Informationen. Die allgemeine Pflicht gilt fünf Jahre; Geschäftsgeheimnisse solange rechtlich geschützt. Sicherheitsrelevante Anweisungen, sichere Dateiwege und Zugangsbeschränkungen sind einzuhalten.
9. Datenschutz und externe Anbieter
Für eigene Business-Kontakt-, Vertrags-, Rechnungs- und Compliance-Daten verarbeitet AKTE personenbezogene Daten nach ihrer Datenschutzerklärung. Weisungsgebundene Kundenprojektdaten werden nur auf Grundlage eines AVV verarbeitet. Die Analyse von Kundenprojektdaten erfolgt standardmäßig in einer kontrollierten lokalen Arbeitsumgebung. Freigegebene sichere Übermittlungswege und die eigene Geschäftsverwaltung richten sich nach den jeweils vereinbarten Datenschutzregelungen. Persönliches ChatGPT sowie nicht freigegebene Consumer-Cloud-/KI-Dienste sind für Kundeninformationen verboten. Unterauftragsverarbeiter werden nur nach AVV, Projekt- und Transferkontrolle eingesetzt; externe KI erfordert ausdrückliche Kundenfreigabe.
10. Nutzungsrechte
Kundenquellen und daran bestehende Rechte verbleiben beim Kunden/Rechteinhaber. AKTE behält Rechte an vorbestehenden Werkzeugen, Templates, Software, Taxonomien, Methoden und allgemeinem Know-how. Nach vollständiger Zahlung erhält der Kunde das im Projektvertrag bestimmte Nutzungsrecht an projektspezifischen Liefergegenständen. Rohmodelle, interne Prompts, Sicherheitskonfigurationen und generische Arbeitsmittel werden nicht übertragen, sofern nicht ausdrücklich vereinbart.
11. Haftung
AKTE haftet unbeschränkt bei Vorsatz, grober Fahrlässigkeit, bei Verletzung des Lebens, des Körpers oder der Gesundheit, für von AKTE übernommene Garantien, aufgrund zwingender gesetzlicher Haftung — einschließlich der Produkthaftung, soweit anwendbar — sowie in allen anderen Fällen, in denen die Haftung gesetzlich nicht beschränkt werden kann.
Bei einfacher Fahrlässigkeit haftet AKTE nur bei Verletzung wesentlicher Vertragspflichten. In diesen Fällen ist die Haftung auf den bei Vertragsschluss vorhersehbaren, für diese Art von Vertrag typischerweise eintretenden Schaden und auf insgesamt 500.000 EUR je Vertrag begrenzt. Im Übrigen ist die Haftung für einfache Fahrlässigkeit ausgeschlossen, soweit gesetzlich zulässig.
Die Haftungshöchstgrenze von insgesamt 500.000 EUR je Vertrag gilt ausschließlich für die Haftung nach Absatz 2. Sie gilt nicht in den in Absatz 1 genannten Fällen und beschränkt keine zwingenden gesetzlichen Ansprüche, insbesondere keine unverzichtbaren Rechte betroffener Personen. Mitverschulden, die Pflicht zur Schadensminderung und die gesetzlichen Voraussetzungen für einen ersatzfähigen Schaden bleiben unberührt.
12. Laufzeit, Kündigung, höhere Gewalt
Bei einer wesentlichen Umfangsabweichung vor Auswertungsbeginn werden eine vereinbarte Erweiterung, sichere Quellenreduktion oder, falls kein akzeptabler Umfang vereinbart wird, Stornierung mit vollständiger Erstattung angeboten. Keine automatische Zusatzbelastung oder Erstattungsabzüge gelten für diesen Fall. Freiwillige Beendigung nach Auswertungsbeginn richtet sich nach dem Vertrag. Gesetzliche Kündigungsrechte bleiben unberührt. Bei unvorhersehbaren Störungen informieren sich die Parteien, mindern Folgen und vereinbaren angepasste Termine.
13. Schlussbestimmungen
Es gilt deutsches Recht unter Ausschluss des UN-Kaufrechts. Gerichtsstand ist Pforzheim, soweit wirksam vereinbar. Abtretung wesentlicher Rechte bedarf der Zustimmung, die nicht unbillig verweigert wird; gesetzliche Abtretungsrechte bleiben. Änderungen werden in Textform dokumentiert. Unwirksamkeit einzelner Regelungen lässt den übrigen Vertrag unberührt; die gesetzliche Regelung tritt an ihre Stelle. Die deutsche Fassung ist maßgeblich. Stand: September 2026.

1. Provider, applicability and incorporation
Provider is Alene Küpper, sole proprietor trading under the business designation AKTE, Erlenweg 65, 75175 Pforzheim, Germany (“AKTE”). These Terms apply to B2B services for the analysis of tender, procurement and bid documents and related decision support. They are made available to the client before contract formation and incorporated by express reference in the quotation, Order Form or Project Agreement. Deviating client terms apply only if expressly accepted in text form.
2. Formation and precedence
Website content is a non-binding description of services, not a binding offer. A contract is formed through signature by both parties, documented order confirmation or clearly recorded acceptance of the specific quotation. Individual agreements and the Order Form take precedence; for personal data in client projects, the data-processing agreement (DPA) takes precedence; the Project Agreement and these Terms apply thereafter.
3. Services and no guaranteed outcome
AKTE performs the specifically agreed analysis, structuring, mapping, comparison, risk-identification and reporting services. The sources, scope, depth of review, number of bidders and lots, format, language, assumptions and exclusions set out in the Order Form define the services. AKTE may use suitable local software and AI tools but remains responsible for the agreed human quality control.
No legal, tax, statutory-audit or binding procurement advice is provided. No guarantee is given concerning the completeness of defective or scanned source materials or any exclusion, award, profit or other commercial outcome. Findings and scores are decision support; the client independently reviews the professional, legal and commercial conclusions.
4. Cooperation and timing
The client supplies complete, current and readable documents, criteria, amendments, clarifications, portal information, instructions and contact persons in good time. The client is responsible for the lawfulness, authority and accuracy of the inputs and must not provide unnecessary sensitive or private data. AKTE may rely on confirmed information but must identify recognisable contradictions as such.
Timing depends on timely client cooperation; changes and their effects are agreed. AKTE business days are Monday to Friday, excluding 25 December, 26 December, 31 December and 1 January. All other weekday public holidays count. We respond to the Fit Check within one AKTE business day of receipt. Within two AKTE business days of the client confirming upload completion, we confirm validation or send a consolidated blocker list. The delivery clock starts only at written Complete Validated Upload after accepted terms and verified full payment.
5. Change control and partial services
Changes are documented before implementation with scope, price, timing, risk and privacy impact. Agreed additional services require full payment before execution. Changes to the approved processing route require prior approval.
6. Review and defect handling
One consolidated factual-correction list may be submitted within ten AKTE business days after the complete deliverables are available with working access. We target straightforward corrections within two AKTE business days after accepting the complete list; broader rework receives a confirmed date. Applicable defect rights remain unchanged; silence alone is not acceptance.
7. Prices, invoices and taxes
The agreed price, currency and expenses apply. Accept the agreed scope and terms first. Pay by Stripe or an advance-payment invoice due 14 calendar days from issue. Full payment must be received and verified before any secure upload link, confidential file intake or evaluation work. Pending or partial payments, purchase orders and payment screenshots do not qualify; an unpaid invoice does not reserve an unconditional delivery slot.
AKTE currently applies the small-business rule under § 19 UStG. VAT is not charged on qualifying domestic services, and invoices state the small-business tax treatment. Cross-border place-of-supply, reverse-charge and registration issues are assessed case by case. If AKTE’s tax status lawfully changes, the treatment required by law applies from the relevant date.
8. Confidentiality and information security
Confidential information is used only to perform the contract, protected appropriately and disclosed only to necessary recipients who are bound by confidentiality. Standard exceptions apply to information that is public, lawfully known beforehand, independently developed, lawfully received from a third party or required to be disclosed. The general obligation applies for five years; trade secrets remain protected for as long as they are legally protected. Security instructions, secure file routes and access restrictions must be followed.
9. Data protection and external providers
AKTE processes its own business-contact, contract, invoice and compliance data under its Privacy Notice. Client Project Data processed on instructions is handled only under a DPA. Client Project Data is analysed in a controlled local workspace by default. Approved secure transfer routes and AKTE’s own business administration are governed by the applicable agreed data-protection arrangements. Personal ChatGPT and unapproved consumer cloud or AI services are prohibited for client information. Subprocessors are used only after DPA, project and transfer controls; external AI requires the client’s express approval.
10. Rights of use
Client source materials and the rights in them remain with the client or other rights holder. AKTE retains rights in pre-existing tools, templates, software, taxonomies, methods and general know-how. After full payment, the client receives the right of use specified in the Project Agreement for project-specific deliverables. Raw models, internal prompts, security configurations and generic working materials are not transferred unless expressly agreed.
11. Liability
Liability is unlimited for intent, gross negligence, injury to life, body or health, guarantees assumed by AKTE, mandatory statutory liability—including product liability where applicable—and any other liability that cannot lawfully be limited.
In cases of simple negligence, AKTE is liable only for the breach of essential contractual obligations. In those cases, liability is limited to the foreseeable loss typically arising from that type of contract at the time it was concluded and to an aggregate maximum of EUR 500,000 per contract. Liability for simple negligence is otherwise excluded to the extent permitted by law.
The aggregate liability cap of EUR 500,000 per contract applies exclusively to liability under paragraph 2. It does not apply in any of the cases described in paragraph 1 and does not restrict any mandatory statutory claims, including non-waivable rights of data subjects. Contributory fault, the duty to mitigate loss and the legal requirements for recoverable damage remain unaffected.
12. Term, termination and force majeure
Before evaluation, a material scope mismatch is resolved by an agreed upgrade, safe source reduction or cancellation with a full refund if no acceptable scope is agreed. No automatic overage charge or refund deduction applies to this mismatch route. Voluntary termination after evaluation begins follows the contract. Statutory termination rights remain unchanged. For unforeseeable disruptions, the parties notify each other, mitigate effects and agree adjusted dates.
13. Final provisions
German law applies, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). The courts at Pforzheim have jurisdiction to the extent that venue can validly be agreed. The assignment of material rights requires consent, which must not be unreasonably withheld; statutory assignment rights remain unaffected. Amendments are documented in text form. If any provision is invalid, the remainder of the contract remains unaffected and the statutory provision takes its place. The German version governs. Version: 21 September 2026.
